When a company changes its legal status to a registered society pursuant to the Co-Operative and Community Benefit Societies Act 2014, the newly created society is subject to the same liabilities and rights as the original company.
A company is recognised at law as a legal entity (a person) in its own right. The High Court has held the when a change occurs from company to society as referred to above, all that changes is the legal regime under which an existing legal person is governed.
